HRB PORTAL DEMO TERMS OF SERVICE

These Terms govern demo booking and pre-contractual interactions relating to HRB Portal. The portal is operated by: AGroup SIA, registration No.: 40003986259, registered address: Duntes str.3, Riga, Latvia, LV 1013, email: info@agroup.lv.
- Scope
These Terms apply to: demo booking via hrbportal.eu, agroup.lv, participation in demo sessions, pre-contractual communications, sales discussions and proposal exchanges.
- Business Capacity
The demo is available exclusively to business representatives. By booking a demo, you confirm that: you act on behalf of a legal entity or business and you are authorized to engage in pre-contractual discussions.
- Demo Nature
The demo and related materials are provided for evaluation and informational purposes only. It does not grant any license rights, system access rights and does not constitute a binding offer.
While AGroup SIA strives to ensure that demonstrations accurately reflect the capabilities and development direction of HRB Portal, the demo environment may not represent the final contracted configuration or all available features. Any commitments regarding functionality, performance, availability, or implementation scope shall be set out exclusively in a written agreement signed by the parties.
You acknowledge that you do not rely on any statements, representations, or demonstrations except as expressly included in a final written agreement.
- Pre-Contractual Process
By booking a demo, you request AGroup SIA to initiate pre-contractual interactions relating to HRB Portal. In connection with your demo request, AGroup SIA may: process your contact details for the purpose of organizing and conducting the demo, contact you by email or telephone to assess potential cooperation and understand your business needs, schedule meetings or follow-up discussions, prepare and provide pricing information or commercial proposals, engage in sales follow-up communications and negotiations, prepare draft documentation, including a Statement of Work and related contractual documents; and negotiate and conclude a formal written agreement.
Participation in this process does not create any obligation on either party to enter into a contract. A binding agreement arises only upon execution of a written contract signed by both parties. No services are provided until a written agreement is signed.
To the extent permitted by applicable law, AGroup SIA shall not be liable for any indirect, incidental, consequential, special, or loss of profit damages arising out of or in connection with participation in a demo or pre-contractual discussions.
Any feedback, suggestions, or ideas provided during or following the demo may be used by AGroup SIA without restriction or compensation.
- Intellectual Property
All intellectual property rights in and to HRB Portal, the demo environment, and any related materials remain exclusively owned by AGroup SIA and/or its licensors.
This includes, without limitation, all rights in software, source code, object code, algorithms, system architecture, databases, designs, user interfaces, workflows, documentation, specifications, concepts, know-how, trademarks, trade names, logos, and any enhancements or modifications thereof.
Participation in a demo, receipt of materials, or engagement in pre-contractual discussions does not grant any license, assignment, transfer of rights, or other intellectual property rights, whether expressly, implicitly, by estoppel, or otherwise.
No rights to use, reproduce, modify, distribute, disclose, reverse engineer, decompile, extract, or create derivative works from HRB Portal or related materials are granted except as expressly agreed in a signed written agreement.
- Confidentiality
Demo materials contain confidential information. You may not: record demos without consent, share materials with third parties, reverse engineer any demonstrated functionality.
Confidential information includes any non-public information disclosed during the demo, including product designs, pricing concepts, and technical details.
Confidentiality obligations apply for two (2) years from the date of disclosure.
This obligation does not apply to information that becomes publicly available without breach of these Terms or that was independently developed without reference to the disclosed information.
- Governing Law
These Terms are governed by Latvian law. Disputes are subject to Latvian courts.
